Terms of Use for NextSign.dk

These terms and commercial conditions govern the use of NextSign.dk and related services provided by NextSign ApS. By using the Service, you accept these Terms in full.

1.Definitions

  • Service: The digital signature solution available via NextSign.dk.
  • User: Any individual or legal entity using the Service.
  • Content: Any text, files, data, or documents uploaded to the Service by the User.
  • Credits: Units used to access features of the Service, which can be purchased or assigned.

2.Access and Use

  • Access requires an account or a unique signature URL.
  • The User may not use the Service for illegal, infringing, or unethical purposes.
  • The User may not reverse engineer, manipulate, scan, or interfere with the Service's systems.
  • The User may not use the Service to send spam, phishing, or malicious code.
  • NextSign.dk may suspend or terminate access upon breach of the Terms.

3.User Data and Privacy

  • NextSign.dk complies with GDPR and acts as a data processor.
  • Upon customer registration, a separate data processing agreement is issued, which must be accepted separately and is a condition for using the Service.
  • Data is deleted no later than 90 days after termination unless otherwise required.
  • Encryption and access restrictions are used to protect user data.
  • In the event of a data breach, relevant authorities and affected users are informed without undue delay.
  • The User is responsible for ensuring that uploaded data complies with the law.
  • NextSign.dk uses approved subprocessors and ensures contractually that they meet security and confidentiality requirements.

4.Digital Signatures

  • NextSign.dk supports eIDAS-compliant digital signatures.
  • It is the User's responsibility to ensure legal validity in the relevant context.
  • NextSign.dk is not a party to documents signed through the platform.
  • A digital signature log is created for each signature and stored as documentation.

5.Disclaimer

  • The Service is provided "as is" without warranties.
  • NextSign ApS is not liable for indirect losses, including loss of profits, data, business opportunities, or goodwill.
  • NextSign.dk assumes no responsibility for whether electronic signatures are recognized by third parties.
  • Total liability is limited to the amount the User has paid to NextSign.dk in the past 12 months.
  • NextSign ApS is not responsible for events beyond reasonable control, including but not limited to natural disasters, war, hacker attacks, strikes, network failures, power outages, or government restrictions (force majeure).

6.Payment Terms and Credit Policy

  • Certain features require payment through a credit system.
  • Credits can be purchased via the price list and used for transactions.
  • If the User reaches -5 credits or lower, an automatic charge of DKK 25 per missing credit is issued (e.g., 5 credits = DKK 125).
  • An administration fee of DKK 99 is added to such invoicing.
  • Invoicing is sent to registered contact details. Payment is due net 8 days.
  • In case of late payment, interest is charged under the Danish Interest Act and DKK 100 per reminder.
  • Access may be suspended 20 days after non-payment.
  • The User accepts that automatic card payments may be charged according to subscription terms and usage.
  • NextSign.dk reserves the right to change prices and credit packages with 30 days’ notice.

7.Acceptable Use

  • The User may not use the Service to violate applicable law.
  • To send spam, viruses, or other malicious code.
  • To impersonate another person.
  • To misuse identity verification services.
  • To attempt unauthorized access to others' accounts or data.
  • NextSign.dk may temporarily or permanently suspend accounts upon violation of Acceptable Use.

8.Breach and Abuse

  • In case of material breach, 10 days are given to remedy, after which the agreement may be terminated.
  • In case of gross abuse, access may be terminated immediately without notice.
  • Examples include illegal use, security breaches, system circumvention, misuse of others’ identity, and attempts at unauthorized access.
  • Prepaid amounts are not refunded in the event of User breach.
  • NextSign.dk is not responsible for any losses caused by account suspension.

9.Subcontractors and Third Parties

  • NextSign.dk uses external services and technical providers, including identity providers such as MitID.
  • NextSign.dk is not responsible for delays or errors resulting from subcontractor operations.

10.Changes to Terms

  • NextSign.dk may update these Terms with reasonable notice.
  • Changes are notified via email or on the website.
  • Use after changes constitutes acceptance of the new Terms.

11.Governing Law and Jurisdiction

  • The Terms are governed by Danish law.
  • Any disputes are settled by the court in Horsens.

12.Intellectual Property Rights

  • All rights to the Service and its content belong to NextSign ApS.
  • The User may not copy, resell, or distribute the Service without written permission.

13.User Responsibility for Content

  • The User may not upload material that is offensive, illegal, infringing, or violates third-party rights.
  • NextSign.dk reserves the right to remove or report such content.

14.Assignment of Agreement

  • NextSign ApS reserves the right to assign the agreement or parts thereof to third parties.
  • The User may not assign their access to others without written consent.

15.Communication and Notification

  • All communication between the parties is primarily digital.
  • Notifications from NextSign.dk are sent to the registered email and are considered received immediately.

16.Validity and Severability

  • If any provision of these Terms is found invalid, it does not affect the validity of the remaining provisions.
  • The invalid provision is replaced by a valid provision with equivalent effect.

17.Version Control and Archiving

  • NextSign.dk archives previous versions of these Terms and can make them available upon request.
